Enterprise Master Services Agreement

Terms of Service & Licensing

Last Updated: January 2026. These Terms govern the purchase, licensing, deployment, and ongoing technical support of all software products and bespoke development provided by RITS Technologies.

1. Acceptance of Terms

By accessing our web portals, ordering software licenses, signing a Master Service Agreement (MSA), or issuing a Purchase Order to RITS Technologies, your organization agrees to be legally bound by these Terms of Service. If you are executing this agreement on behalf of a corporation or entity, you represent that you possess full administrative authority to bind said entity.

2. Software Licensing & IP Ownership

A. Proprietary Engines: RITS Technologies retains all core patent, trademark, and framework intellectual property rights in our pre-built platforms (including ERP, POS, EVMS, and Telehealth engines).

B. White-Label & Enterprise Rights: Under certified enterprise white-label agreements, clients are granted perpetual, non-exclusive rights to operate the software under their corporate brand identity, without unauthorized sub-licensing to competitor software vendors.

C. Client Data Sovereignty: All client business data, customer ledgers, academic registers, patient electronic records, and transactional archives remain 100% the exclusive property of the client.

3. 99.99% Uptime SLA & Support Scope

For all cloud-hosted SaaS agreements, RITS Technologies commits to an annual 99.99% platform availability Service Level Agreement (SLA). Scheduled maintenance windows are performed during low-traffic periods with a minimum of 48 hours advance administrative notification.

4. Payment Terms, Renewal & Termination

Invoices for custom development are billed according to project milestone completion (e.g. SRS Sign-off, Alpha Release, Production Go-Live). Subscription licenses renew annually unless 30-day written cancellation notice is tendered prior to renewal. Upon termination, client databases are securely exported in standardized SQL / CSV format.

5. Governing Law & Jurisdiction

These terms and any related agreements are governed by the laws of the Republic of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India.
